Vendor lock-in is no carte blanche for a direct award

At the beginning of 2025, the Court of Justice of the European Union (the CJEU) delivered a judgment on the application of the negotiated procedure without prior publication, i.e. a “direct award”, in the context of an IT procurement procedure.

The judgment is particularly relevant for long-term IT relationships in which a contracting authority argues that only one supplier is capable of performing the contract, also referred to as vendor lock-in. The CJEU makes clear that an existing vendor lock-in does not automatically suffice to justify a direct award. What matters in that regard is how that lock-in arose, whether it could have been avoided, and whether the contracting authority could reasonably have been expected to make efforts to bring that situation to an end.

Background of the case

In 1992, the Czech Ministry of Finance concluded an agreement with IBM World Trade Europe/Middle East/Africa Corporation for the implementation of an IT system for the tax administration. In 2013, the Czech General Financial Directorate (GFD) was established, succeeding the Ministry of Finance in relation to responsibility for the Czech tax administration.

In 2016, the GFD initiated a negotiated procedure without prior publication for the maintenance of that IT system. That contract was awarded to IBM Česká republika spol. s r.o. (IBM). According to the GFD, that direct award through this procedure was justified because of the need to ensure the technical continuity of the system. IBM held the copyright in the source code of the IT system and refused to transfer it, thereby in essence creating a situation of exclusivity. In addition, according to the GFD, replacing that system with another system was not a financially viable option.

In 2017, however, the Czech competition authority found that the GFD had not satisfied all the conditions for using the negotiated procedure without prior publication. According to the Czech competition authority, the GFD had failed to demonstrate sufficiently that, for technical reasons, the contract could be performed only by IBM. In addition, according to Czech competition authority, the need to respect IBM’s exclusive rights, and thus the situation of exclusivity, resulted from the earlier conduct of the GFD’s legal predecessor.

Question referred to the CJEU

The question referred to the CJEU was whether the negotiated procedure without prior publication, laid down in Article 31(1)(b) of Directive 2004/18, may be used where the contracting authority itself created a situation of exclusivity with a supplier, and whether, in that context, regard must be had solely to the legal and factual circumstances at the time of the original agreement, or also to the circumstances arising during the period thereafter.

By way of background: the negotiated procedure without prior publication is now laid down in Article 32 of Directive 2014/24/EU (the “Public Procurement Directive”) and has been implemented in the Dutch Public procurement act (Aanbestedingswet) through Articles 2.32 to 2.36. In the predecessor to the current Public Procurement Directive, namely Directive 2004/18/EC (the “former Public Procurement Directive”), a near-identical provision was contained in Article 31.

In this case, the issue concerned the application of the negotiated procedure without prior publication on the ground of the alleged absence of competition for technical reasons (Article 31(1)(b) of the former Public Procurement Directive, Article 32(2)(b) of the Public Procurement Directive, and Article 2.32(1)(b)(2) of the Dutch Public Procurement Act). The former Public Procurement Directive applied because the procurement procedure for the maintenance of the IT system was launched before the current Public Procurement Directive entered into force. That does not detract from the significance of the judgment for the interpretation of the current procurement rules, since those rules are, on this point, virtually identical.[EK1]

The CJEU’s ruling

The CJEU begins by emphasising that the negotiated procedure without prior publication is an exceptional procedure. In principle, the contracting authority must do everything that may reasonably be expected of it in order to avoid using that procedure. Accordingly, Article 31 of the former Public Procurement Directive, as well as Article 32 of the Public Procurement Directive, must be interpreted strictly.

According to the CJEU, a contracting authority seeking to rely on that exception must demonstrate that three cumulative conditions are met:

1. there must be technical or artistic reasons, or reasons connected with the protection of exclusive rights, relating to the subject matter of the contract;
2. for those reasons, it must be absolutely necessary to award the contract to one particular economic operator; and
3. the existence of technical or artistic reasons, or reasons connected with the protection of exclusive rights relating to the subject matter of the contract, must not be attributable to the contracting authority and the contracting authority must not be at fault in that regard. In other words, the exclusive position of one supplier must not be the result of choices made by, or omissions on the part of, the contracting authority.

As regards that third condition, namely that the protection of exclusive rights must not be attributable to the contracting authority, the CJEU states that it must be examined whether the conduct of the contracting authority, in particular when concluding an earlier agreement that gave rise to the public contract at issue, created a situation of exclusivity. In addition, it must be assessed whether the continuation of that exclusivity until the moment when the contracting authority decided to use the negotiated procedure without prior publication was due, whether intentionally or unintentionally, to action or inaction on the part of the contracting authority. In that connection, it is also relevant to assess whether, from an economic perspective, the contracting authority had genuine and reasonable means available to bring the situation of exclusivity to an end before deciding to make use of the negotiated procedure without prior publication.

In short, a contracting authority must demonstrate that the exclusivity is not attributable to it. Whether that exclusivity is attributable to it must be assessed on the basis of the legal and factual circumstances at the time the agreement was concluded, as well as on the basis of all the circumstances characterising the period between the date of conclusion of that agreement and the date on which the contracting authority chooses the procedure to be followed for the award of subsequent contracts.

Points of attention for contracting authorities

Any party seeking to rely on technical exclusivity or the protection of exclusive rights will need to demonstrate not only that exclusivity exists, but also that that situation is not attributable to itself. This means that, already at the stage of the initial IT contract, consideration should be given to how dependency on a single supplier can be avoided. This may include arrangements on source code, documentation, interoperability, transfer of know-how and exit options. In addition, once a dependency relationship arises, a contracting authority must continue actively to assess whether that dependency can be broken.

Points of attention for tenderers

For tenderers, the judgment provides useful grounds for scrutinising reliance on technical exclusivity or exclusive rights. Where a contracting authority awards a contract directly to one party, it is therefore not sufficient merely to look at the current technical situation. The history leading up to that situation may also be relevant.

The judgment also creates opportunities for market operators offering interoperable solutions, migration services or replacement systems. Their position is strengthened where it can plausibly be shown that reasonable alternatives or substitutes do in fact exist.

Vendor lock-in geen vrijbrief voor één-op-één gunning

Begin 2025 wees het Europese Hof van Justitie (het Hof) een arrest over de toepassing van de onderhandelingsprocedure zonder voorafgaande bekendmaking, oftewel de “één-op-één gunning”, in het kader van een IT-aanbesteding.

Het arrest is met name relevant voor langlopende IT-relaties waarin een aanbestedende dienst stelt dat slechts één leverancier de opdracht kan uitvoeren (ook wel vendor lock-in genoemd). Het Hof maakt duidelijk dat een bestaande vendor lock-in niet automatisch voldoende is om een één-op-één gunning te rechtvaardigen. Van belang in dit kader is hoe die lock-in is ontstaan, of deze vermijdbaar was, en of de aanbestedende dienst zich redelijkerwijs had kunnen inspannen om die situatie te beëindigen.

Achtergrond van de zaak

In 1992 sloot het Tsjechische ministerie van Financiën met IBM World Trade Europe/Middle East/Africa Corporation een overeenkomst voor de invoering van een IT-systeem voor de belastingadministratie. In 2013 werd het Tsjechische directoraat-generaal financiën (DGF) opgericht, dat het ministerie van Financiën opvolgde in het kader van de verantwoordelijkheid voor de Tsjechische belastingadministratie.

In 2016 startte het DGF een onderhandelingsprocedure zonder voorafgaande bekendmaking voor het onderhoud van dat IT-systeem. Die opdracht werd gegund aan IBM Česká republika spol. s r.o. (IBM) Volgens het DGF was die één-op-één gunning via deze procedure gerechtvaardigd vanwege de (noodzaak van) technische continuïteit van het systeem. IBM bezit namelijk de auteursrechten op broncode van het IT-systeem en weigerde deze over te dragen, waardoor in essentie een toestand van exclusiviteit werd gecreëerd. Daarnaast zou het overstappen van dit systeem naar een ander systeem financieel gezien geen optie zijn, aldus het DGF.

In 2017 besloot de Tsjechische mededingingsautoriteit echter dat het DGF niet aan alle voorwaarden voor de onderhandelingsprocedure zonder voorafgaande bekendmaking had voldaan. Volgens de Tsjechische mededingingsautoriteit had het DGF niet voldoende aangetoond dat de opdracht om technische redenen uitsluitend door IBM kon worden uitgevoerd. Daarnaast was de noodzaak om de alleenrechten van IBM te respecteren (en dus de toestand van exclusiviteit) volgens de autoriteit het gevolg van het eerdere handelen van de rechtsvoorganger van het DGF.

Prejudiciële vraag aan het Hof

De vraag die aan het Hof werd gesteld betrof of de onderhandelingsprocedure zonder voorafgaande bekendmaking (neergelegd in artikel 31 punt 1 onder b van richtlijn 2004/18) gebruikt mag worden indien de aanbestedende dienst zelf een toestand van exclusiviteit met een leverancier in het leven heeft geroepen, en of in dat kader enkel gekeken moet worden naar de juridische en feitelijke omstandigheden ten tijde van de oorspronkelijke overeenkomst, of ook naar de omstandigheden in de periode daarna.

Ter achtergrond: de onderhandelingsprocedure zonder voorafgaande bekendmaking is thans opgenomen in artikel 32 richtlijn 2014/24/EU (Aanbestedingsrichtlijn) en geïmplementeerd  in de Nederlandse Aanbestedingswet via artikel 2.32-2.36. In de voorganger van de huidige Aanbestedingsrichtlijn, richtlijn 2004/18/EG (Oude Aanbestedingsrichtlijn), was een nagenoeg gelijkluidend bepaling opgenomen in artikel 31. 

In deze zaak ging het om de toepassing van de onderhandelingsprocedure zonder voorafgaande bekendmaking op grond van het vermeend ontbreken van de mededinging om technische redenen (artikel 31 lid 1 onder b Oude Aanbestedingsrichtlijn, artikel 32 lid 2 onder b Aanbestedingsrichtlijn en artikel 2.32 lid 1 sub b onder 2 Aanbestedingswet). De Oude Aanbestedingsrichtlijn was van toepassing aangezien de aanbestedingsprocedure voor het onderhoud van het IT-systeem werd uitgeschreven voordat de huidige Aanbestedingsrichtlijn in werking trad. Dit doet echter niet af aan de betekenis van het arrest voor de uitleg van de huidige aanbestedingsregels, aangezien deze op dit punt nagenoeg gelijkluidend zijn.   

Oordeel Hof

Het Hof stelt voorop dat de onderhandelingsprocedure zonder voorafgaande bekendmaking een uitzonderingsprocedure is. In beginsel moet de aanbestedende dienst alles doen wat van hem redelijkerwijs verwacht kan worden om deze procedure te vermijden. Daarom moet artikel 31 van de Oude Aanbestedingsrichtlijn (alsmede artikel 32 Aanbestedingsrichtlijn) restrictief worden uitgelegd.

Volgens het Hof moet een aanbestedende dienst die deze uitzondering wenst te gebruiken, aantonen dat aan drie cumulatieve voorwaarden is voldaan:

1. Ten eerste moeten er technische of artistieke redenen zijn, of redenen van bescherming van alleenrechten, die verband houden met het voorwerp van de opdracht.
2. Ten tweede moet het om die redenen volstrekt noodzakelijk zijn de opdracht aan één bepaalde ondernemer te gunnen.
3. Ten derde moet het bestaan van technische of artistieke redenen of redenen van bescherming van alleenrechten die verband houden met het voorwerp van de opdracht niet aan de aanbestedende dienst kunnen worden toegeschreven of verweten (oftewel: de exclusieve positie van één leverancier mag niet het gevolg zijn van keuzes of nalaten van de aanbestedende dienst).

Wat betreft die derde voorwaarde (dat de bescherming van de alleenrechten niet aan de aanbestedende dienst toegeschreven moeten kunnen worden) benoemt het Hof dat in ogenschouw genomen moet worden of het gedrag van de aanbestedende dienst, met name bij het sluiten van een eerdere overeenkomst die aanleiding heeft gegeven tot de betrokken overheidsopdracht, een toestand van exclusiviteit heeft gecreëerd. Daarnaast moet worden beoordeeld of het voortbestaan van die exclusiviteit tot het moment waarop de aanbestedende dienst besluit de onderhandelingsprocedure zonder bekendmaking te volgen, (opzettelijk of onopzettelijk) te wijten is aan het handelen of stilzitten van de aanbestedende dienst. Hierbij is tevens van belang te beoordelen of de aanbestedende dienst vanuit economisch oogpunt over werkelijke en redelijke middelen beschikte, om de toestand van exclusiviteit te beëindigen alvorens te beslissen om gebruik te maken van de onderhandelingsprocedure zonder voorafgaande bekendmaking.

Kort gezegd: een aanbestedende dienst moet aantonen dat de exclusiviteit niet aan hem te wijten is. Of die exclusiviteit aan hem wijten  is, moet worden beoordeeld op basis van de juridische en feitelijke omstandigheden ten tijde van de sluiting van de overeenkomst, alsmede op basis van alle omstandigheden die de periode kenmerken tussen de datum van sluiting van die overeenkomst en de datum waarop de aanbestedende dienst kiest welke procedure wordt gevolgd om vervolgopdrachten te plaatsen.

Aandachtspunten voor aanbestedende diensten

Wie zich wil beroepen op technische exclusiviteit of bescherming van alleenrechten, zal niet alleen moeten aantonen dat exclusiviteit bestaat, maar ook dat die situatie niet aan hemzelf is toe te rekenen. Bij de initiële (IT-)opdracht moet dus al worden nagedacht over de vraag hoe afhankelijkheid van één leverancier kan worden voorkomen. Denk aan afspraken over broncode, documentatie, interoperabiliteit, kennisoverdracht en exit-mogelijkheden. Daarnaast moet een aanbestedende dienst, zodra een afhankelijkheidsrelatie ontstaat, actief blijven onderzoeken of die afhankelijkheid kan worden doorbroken.

Aandachtspunten voor inschrijvers

Voor inschrijvers biedt het arrest aanknopingspunten om een beroep op technische exclusiviteit of alleenrechten te toetsen. Wanneer een aanbestedende dienst een opdracht rechtstreeks aan één partij gunt, is het dus niet voldoende om alleen te kijken naar de huidige technische situatie. Ook de voorgeschiedenis kan van belang zijn.

Het arrest biedt bovendien kansen voor marktpartijen die interoperabele oplossingen, migratiediensten of vervangende systemen aanbieden. Hun positie wordt sterker wanneer aannemelijk kan worden gemaakt dat wel degelijk redelijke alternatieven of substituten bestaan.
