Taylor Wessing has advised Ortivity GmbH (Ortivity), a leading German platform for outpatient orthopaedic care, on a capital investment by Unigestion.
As part of the transaction, certain existing Ortivity shareholders will partially exit. At the same time, Unigestion – a leading private equity firm focused on mid-market investments – as well as selected new Apheon investors are joining Ortivity as shareholders. This strengthens Apheon’s overall exposure to the company: Apheon remains lead investor, while Unigestion, through its private equity funds, acquires a significant minority stake via an approximately EUR 200 million capital injection.
The transaction is designed to continue Ortivity’s strong growth path, in particular through the expansion of its integrated, physician-led care model and the further roll-out of existing and new regional clusters.
Founded in 2022 by leading physicians together with Apheon, Ortivity has, within just four years, developed into Germany’s leading outpatient orthopaedic group. With more than 100 sites across three regional clusters, the company offers the full spectrum of orthopaedic services – from diagnostics and anaesthesia through surgery to prevention and aftercare. A key success factor is the physician partnership model and a strong focus on clinical excellence. Around 50 per cent of the group is owned by physicians.
With the targeted capital increase and the addition of Unigestion as a new partner, Ortivity has laid the foundation for its next growth phase and for further advancing the modernisation of outpatient orthopaedic care in Germany.
