Taylor Wessing advises Ludwig Pfeiffer Hoch- und Tiefbau GmbH & CO KG on the hive-down of Croatian assets and the sale of Ludwig Pfeiffer Adria GmbH to a Croatian consortium of buyers

Taylor Wessing, under the lead of Munich based partner Dr. Philip Cavaillès, has advised Ludwig Pfeiffer Hoch- und Tiefbau GmbH & CO KG, a civil engineering company specializing in the construction of water supply and wastewater networks, on the hive-down of all Croatian assets to the newly established Ludwig Pfeiffer Adria GmbH and the sale of all shares in Ludwig Pfeiffer Adria GmbH to a consortium of Croatian construction companies comprising of AMM d.o.o. and VODOPRIVREDA VINKOVCI d.d.

The hive-down under the German transformation act was preceded by an insolvency plan, extensive coordination with the registry and insolvency court as well as the local Croatian contractors (water authorities in Zadar, Nin and Sinj) in order to maintain the public tenders in the context of the hive-down and the sale.

The insolvent Ludwig Pfeiffer Hoch- und Tiefbau GmbH & Co. KG, which is under debtor-in-possession management, focussed on the construction of water supply and wastewater networks with regional and national construction projects for public clients, industrial and private customers.

The Croatian buyer consortium comprising of AMM d.o.o. and VODOPRIVREDA VINKOVCI d.d. will continue the construction projects in Croatia.
