Disproportionality of requirement of a maximum of three LED modules

The requirement of a maximum of three LED modules in frames for sports field lighting was disproportionate, according to the District Court of Oost-Brabant. The arguments put forward by the contracting authority did not demonstrate that the requirement was necessary and that frames with more than three modules would not be able to meet the desired functionality and quality requirements.

Background

The municipality of Maashorst (the “municipality”) published an announcement via TenderNed for a European public tender for “LEDifying” (the Dutch term used by the municipality is “VerLEDden”) of sports field lighting in the municipality. In the compliance document, it included the requirement that the LED fixtures must comply with a fixed frame containing a maximum of three LED modules. Lumosa Lighting B.V. and Aerolux B.V. (“Lumosa et al.”) consider the requirement of a maximum of three LED modules to be disproportionate and an unjustified restriction of competition. Lumosa et al. believe that only one of the three largest manufacturers in the Netherlands would be able to meet the requirement. Although Lumosa et al. did not participate in the tender, they initiated summary proceedings. Among other things, they claimed that the requirement of a maximum of three LED modules should not be enforced and that the tender should be withdrawn. The preliminary relief judge grants the claims of Lumosa et al. This is striking because Lumosa et al. had previously lost a similar case concerning the proportionality of the requirement that a fixed frame may contain a maximum of three LED modules.

Assessment by the preliminary relief judge

The municipality's defences can be divided into (i) formal defences and (ii) substantive defences. In its ruling, the preliminary relief judge first addressed the municipality's formal defences.

Formal defences of the municipality and consideration by the preliminary relief judge

In short, all of the municipality's formal defences were rejected. In summary, the preliminary relief judge stated the following with regard to the formal defences:

• Lumosa still has an independent interest. The contract consists of the supply of LED fixtures and Lumosa is the supplier of LED lighting to Aerolux.
• Although the municipality does not refer to a specific brand, Article 2.76 of the Dutch Public Procurement Act 2012 (in Dutch: Aanbestedingswet) prohibits the imposition of technical requirements that are so specific that only one product or brand can meet them.
• There is no question of forfeiture of rights: Lumosa et al. complained about the disproportionate nature of the requirement at every opportunity they had.
• It cannot be held against Lumosa et al. that they did not participate in the public procurement procedure for the contract or that they waited to initiate summary proceedings. It is at the municipality's expense and risk that it did not extend the objection period again. The risk being that, in the event of a negative ruling, the entire public procurement procedure may have to be repeated.

Substantive defences: the claim was disproportionate

The preliminary relief judge ruled that it is up to Lumosa et al. to sufficiently substantiate that the requirement is disproportionate, because it is not reasonably proportionate to the subject matter of the contract. To this end, it has appointed an independent expert who says that there is no reason why a fixture that exceeds the requirement of three LED modules cannot be compliant. The municipality argues that the requirement is based on research by an external expert who previously conducted market research for a similar tender in another municipality. In addition, the municipality believes that a fixed frame with a maximum of three LED modules offers a number of (technical) advantages (e.g. less chance of malfunction). Specifically regarding the number of LED modules, it states that LED modules with a larger surface area need to be replaced more often due to their weight and wind load.

The preliminary relief judge finds that seeking advice from an independent expert indicates a careful approach on the part of the municipality, but criticises it for not checking whether the specifications actually complied with the requirements of public procurement law, including the principle of proportionality. Lumosa et al., on the other hand, rightly argued that a larger number of LED modules does not directly result in a larger surface area or weight. Another factor that is important for the preliminary relief judge's ruling is that it remains unclear why the three LED modules produce a significantly better result. On this basis, the preliminary relief judge ruled that the municipality does not rule out that frames with four or more LED modules could also meet the desired requirements. The requirement is therefore disproportionate, which means that the municipality may not enforce the requirement of a maximum of three LED modules. If the municipality still wishes to award the contract, a new public procurement procedure must be initiated.

Practical tips

This ruling leads to two practical tips:

1. For contracting authorities: the use of an external expert in drawing up tender documents can be valuable, but make sure that these documents are subsequently assessed for proportionality. The fact that market research has already been carried out does not mean that the requirements resulting from this can be adopted without further scrutiny.
2. For tenderers: the rejection of claims in a previous, similar case does not necessarily lead to the same ruling in another case concerning proportionality against another contracting authority. It may be useful to engage an expert at that point to provide a sound technical justification. This effort may pay off if several contracting authorities formulate the same type of requirement.

Disproportionaliteit van eis maximaal drie LED-modules

De eis van maximaal drie LED-modules in frames voor sportveldverlichting was volgens de rechtbank Oost-Brabant disproportioneel. Uit de argumenten van de aanbestedende dienst kon niet worden opgemaakt dat de eis noodzakelijk was, en dat frames met meer dan drie modules niet zouden kunnen voldoen aan de gewenste functionaliteits- en kwaliteitseisen.

Achtergrond

De gemeente Maashorst (de “gemeente”) heeft via TenderNed een aankondiging gedaan voor een Europese openbare aanbesteding voor het “VerLEDden” van sportveldverlichting in de gemeente. In het Controledocument heeft zij de eis opgenomen dat de LED-armaturen moeten voldoen aan een vast frame met daarin maximaal drie LED-modules. Lumosa Lighting B.V. en Aerolux B.V. (“Lumosa c.s.”) vinden de eis van maximaal drie LED-modules disproportioneel en een ongerechtvaardigde belemmering van de mededinging. Lumosa c.s. is van mening dat slechts één van de drie grootste producenten in Nederland zou kunnen voldoen aan de eis. Hoewel Lumosa c.s. zich niet inschrijft op de aanbesteding, start Lumosa c.s. een kort geding. Zij vordert onder meer dat de eis van maximaal drie LED-modules niet gehandhaafd mag blijven, en dat de aanbesteding ingetrokken moet worden. De voorzieningenrechter wijst de vorderingen van Lumosa c.s. toe. Dit is saillant omdat Lumosa c.s. in een eerdere soortgelijke procedure over de proportionaliteit van de eis dat er maximaal drie LED-modules in een vast frame mogen zitten juist ongelijk heeft gekregen.

Beoordeling van de voorzieningenrechter

De verweren van de gemeente zijn onder te verdelen in (i) formele verweren, en (ii) materiële (inhoudelijke) verweren. De voorzieningenrechter behandelt in de uitspraak eerst de formele verweren van de gemeente.

Formele verweren gemeente en behandeling door de voorzieningenrechter

Kort gezegd worden alle formele verweren van de gemeente afgewezen. Samengevat geeft de voorzieningenrechter het volgende aan ten aanzien van de formele verweren:

• Lumosa heeft alsnog zelfstandig belang. De opdracht bestaat uit de levering van LED-armaturen en Lumosa is de leverancier van LED-verlichting aan Aerolux.
• De gemeente verwijst dan wel niet naar één expliciet merk, op basis van artikel 2.76 Aanbestedingswet is het ook verboden om technische eisen te stellen die dusdanig specifiek zijn dat maar één product of merk aan de eis kan voldoen.
• Er is geen sprake van rechtsverwerking: Lumosa c.s. heeft bij iedere mogelijkheid die zij kreeg geklaagd over de disproportionaliteit van de eis.
• Het kan Lumosa c.s. niet worden tegengeworpen dat zij zich niet heeft ingeschreven op de opdracht, dan wel dat zij heeft gewacht met het opstarten van een kort geding. Het komt voor rekening en risico van de gemeente dat zij de bezwaartermijn niet nog een keer heeft verlengd. Het risico zijnde, dat bij een negatieve uitspraak de hele aanbestedingsprocedure mogelijk opnieuw moet.

Materiële verweren: de eis was disproportioneel

De voorzieningenrechter oordeelt dat het aan Lumosa c.s. is om voldoende gemotiveerd te stellen dat de eis disproportioneel is, omdat deze niet in een redelijke verhouding staat tot het voorwerp van de opdracht. Zij draagt daarvoor een onafhankelijke expert aan, die zegt dat er geen reden is waarom een armatuur die de eis van drie LED-modules overschrijdt niet zou kunnen voldoen. De gemeente brengt daar tegenin dat de eis is gebaseerd op het onderzoek van een externe deskundige, die al eerder een marktonderzoek uitvoerde voor een gelijksoortige aanbesteding in een andere gemeente. Daarnaast is de gemeente van mening dat een vast frame met maximaal drie LED-modules een aantal (technische) voordelen oplevert (bijv. minder kans op storingshinder). Specifiek over het aantal LED-modules zegt zij dat LED-modules met een groter oppervlak vaker vervangen moeten worden, vanwege het gewicht en de belasting door windvang.

De voorzieningenrechter vindt dat het inwinnen van advies door een onafhankelijke deskundige duidt op een zorgvuldige aanpak van de gemeente, maar neemt haar kwalijk dat zij niet heeft gecheckt of het bestek daadwerkelijk voldeed aan de aanbestedingsrechtelijke vereisten, waaronder het proportionaliteitsbeginsel. Lumosa c.s. heeft daarentegen terecht beargumenteerd dat een groter aantal LED-modules niet direct voor een groter oppervlak of gewicht zorgt. Wat verder van belang is voor het oordeel van de voorzieningenrechter, is dat het in het midden blijft waarom drie LED-modules zorgen voor een aanmerkelijk beter resultaat. Op basis hiervan oordeelt de voorzieningenrechter dat de gemeente niet uitsluit dat frames met vier of meer LED-modules de gewenste eisen óók kunnen vervullen. De eis is dan ook disproportioneel, waardoor de gemeente de eis van maximaal drie LED-modules niet mag handhaven. Indien de gemeente de opdracht nog wil gunnen, moet er opnieuw aanbesteed worden.

Praktische tips

Deze uitspraak leidt tot twee praktische tips:

1. Voor aanbestedende diensten: de inzet van een externe deskundige bij het opstellen van aanbestedingsstukken kan waardevol zijn, maar let er wel op dat deze documenten daarna worden beoordeeld op proportionaliteit. Het feit dat al eerder marktonderzoek is uitgevoerd betekent niet dat de eisen die hieruit voortvloeien zonder meer kunnen worden overgenomen.
2. Voor inschrijvers: de afwijzing van vorderingen in een eerdere, soortgelijke zaak hoeft niet te leiden tot hetzelfde oordeel in een andere zaak over proportionaliteit tegen een andere gemeente. Het kan zinvol zijn om juist op dat moment een deskundige in te schakelen die zorgt voor een draagkrachtige technische onderbouwing. Deze moeite kan lonen, indien meerdere aanbestedende diensten eenzelfde soort eis formuleren.
