Although the process of concluding a contract is often associated with difficult and prolonged negotiations, it is not the only method of concluding a contract provided for in the Polish Civil Code. Apart from negotiations, under the Polish Civil Code there are three other methods: offer, auction and tendering. Some of these methods may involve a higher risk of undesirable provisions in the contract and disputes related to them. Please see below our brief explanation of these three methods and some practical tips on how to use them to your advantage.
The offer, which is a commonly used method, is a declaration that contains the essential provisions of the contract (e.g., what is being sold, at what price, when etc.). An offer can be made individually to a specific offeree (e.g., in the form of a letter or an e-mail), or it can be of a general nature and be addressed to a broad, unspecified number of potential contractors (e.g., an auction on a portal such as Allegro or Amazon, or a commercial in a newspaper or on TV). The offer is therefore best suited to concluding simple, identical contracts with many contractors.
As the offer is generally binding on the offeror, it is advisable to stipulate in the offer that it is valid for a limited period of time, expires when a specified condition occurs or is revocable (the offer ceases to be binding upon the lapse of the time limit and/or the occurrence of a specified condition, e.g. when the existing stocks are exhausted, or a specified number of offerees accept the offer). Such a stipulation may help to avoid a situation where, due to the lapse of time and changes in circumstances, the offer is still binding and can be effectively accepted by the offeree.
Although it is very convenient to make offers in B2B relations, the offeror must exercise caution. In relations between entrepreneurs, if the offeree accepts the offer but insists on changes or new terms in the offer, the offeror may unwittingly get himself locked into a contract he never intended to make. Furthermore, if the entrepreneurs do business on a regular basis, the lack of an immediate reply to the offer will be considered acceptance of the offer. This may lead to a situation where a contract is concluded without any response from the offeree. Therefore, the use of an offer in B2B relations may sometimes give rise to disputes over whether the contract was in fact concluded. Such disputes may even spill over into areas where the parties had reached agreement (in particular when the general terms and conditions are applicable).
If the intention is not to conclude a contract immediately after receiving the offeree's acceptance, the communication containing the essential provisions of the future contract may be called a letter of intent or an invitation to negotiate. In this way, the communication sent does not constitute an offer. Instead, the second method of concluding a contract provided for in the Civil Code - negotiations - is initiated.
Negotiations aim to reach an agreement on all relevant provisions of a particular contract that have been the subject matter of the negotiations. Negotiations are therefore particularly suitable for complex and specialised contracts. A negotiated agreement does not necessarily imply due performance. It usually creates appropriate provisions which help to easily resolve any dispute which may arise. It is also advisable to conclude a separate non-disclosure agreement (NDA) before negotiations begin in order to protect confidential information and minimise potential risks connected with the negotiations.
Auction and tendering are further methods of concluding a contract. Both aim at obtaining the most advantageous contract conditions for the organiser of the auction or tendering from the participants competing for the contract. The methods differ in that, in an auction, the participants (present mostly at the same time) compete by making the best-priced bids - the price offered by the participants is therefore the decisive criterium. In the case of tendering, bids are usually submitted in writing by the participants and, in addition to the price, there are usually other important criteria specified by the organiser.
A popular mechanism used in an auction or tender process is the so-called tender security deposit. It consists in an obligation to pay a fixed sum of money to the organiser or provide appropriate security of such payment under pain of non-admittance to the auction or tendering. Therefore, the tender security deposit helps to pre-select potential contractors with regard to their financial condition necessary for the performance of the potential contract. In this way, the risk of concluding a contract with a potentially insolvent entity is reduced.
To achieve the organiser's intended purpose of the contract and to reduce the risk of potential disputes related to the conclusion of the contract while using this method, it is advisable to prepare clear and precise terms and conditions of the auction or the tendering process. Such terms and conditions may concern issues such as the minimum requirements for participants and their bids, or for the binding nature of the auction or tender.
Jak zawrzeć umowę, aby uniknąć niepożądanych zobowiązań i późniejszych sporów?
Chociaż proces zawierania umowy kojarzy się często z długotrwałymi i trudnymi negocjacjami, nie jest to jedyny przewidziany w Kodeksie cywilnym sposób zawarcia umowy. Obok negocjacji polski Kodeks cywilny wyróżnia bowiem jeszcze trzy inne tryby: ofertę, aukcję i przetarg. Niektóre z tych trybów mogą jednak wiązać się z większym ryzykiem zawarcia w umowie niechcianych postanowień i tym samym być podłożem do zaistnienia sporów. Poniżej omówimy zatem przewidziane w Kodeksie cywilnym tryby zawarcia umów wraz z praktycznymi uwagami na temat ich stosowania.
Popularnie stosowana oferta jest oświadczeniem, które zawiera kluczowe postanowienia umowy (np. co zostanie sprzedane, za jaką cenę, w jakim terminie). Oferta może być składana indywidualnie do konkretnego odbiorcy (np. w formie listu czy wiadomości e-mail), jak również może mieć charakter masowy i być skierowana do znacznej, bliżej nieokreślonej liczby osób (np. aukcja na portalu typu Allegro lub Amazon, czy też gazetka reklamowa lub telewizyjny spot reklamowy). Tryb ofertowy nadaje się więc najlepiej do zawierania prostych, jednolicie brzmiących umów z licznymi kontrahentami.
Ponieważ złożona oferta co do zasady wiąże jej autora, warto w publikowanej ofercie zastrzec termin jej ważności, warunek jej wygaśnięcia lub też możliwość odwołania oferty (np. wygaśnięcie oferty po określonym dniu, w przypadku wyczerpaniu zapasu towarów lub w razie przyjęcia oferty przez określoną liczbę osób). Tego rodzaju zastrzeżenie pozwoli przykładowo uniknąć sytuacji, w której wskutek upływu czasu doszłoby do zmiany okoliczności, a złożona oferta nadal wiązałaby oferenta i mogłaby zostać skutecznie przyjęta przez drugą stronę.
Składanie ofert w relacjach pomiędzy przedsiębiorcami, choć bardzo wygodne, wymaga zachowania szczególnej ostrożności. W relacjach pomiędzy przedsiębiorcami, jeśli odbiorca oferty udzieli na nią odpowiedzi z zastrzeżeniem zmian lub uzupełnień, może to nawet doprowadzić do zawarcia umowy o zmienionej treści, jeżeli oferent nie sprzeciwi się niezwłocznie zaproponowanym zmianom. Ponadto, jeżeli przedsiębiorcy pozostają między sobą w stałych stosunkach gospodarczych, brak niezwłocznej odpowiedzi na ofertę poczytuje się za przyjęcie oferty. W ten sposób może dojść do sytuacji, gdy pomimo braku jakiejkolwiek reakcji drugiej strony umowa zostaje zawarta. Stosowanie trybu ofertowego w relacjach między przedsiębiorcami bywa więc czasami przyczyną sporów dotyczących skuteczności zawarcia umowy. Spory te niekiedy dotyczą również ustalenia wiążącej treści umowy, w szczególności gdy w grę wchodzi zastosowanie ewentualnych ogólnych warunków umów którejkolwiek ze stron.
Jeżeli naszym celem nie jest natychmiastowe zawarcie umowy po uzyskaniu zgody kontrahenta, komunikat zawierający istotne postanowienia umowne można nazwać listem intencyjnym lub zaproszeniem do rozpoczęcia negocjacji. W ten sposób zamiast trybu ofertowego zainicjowana zostanie druga z przewidzianych w Kodeksie cywilnym procedur zawarcia umowy – negocjacje.
Rozmowy prowadzone w ramach negocjacji zmierzają do ustalenia wszystkich istotnych warunków przyszłej umowy. Tym samym negocjacje nadają się w szczególności do stosowania w przypadku skomplikowanych, wielowątkowych umów. Prowadząc negocjacje nie należy zakładać bezproblemowego wykonania umowy, lecz ustanowić odpowiednie procedury ułatwiające rozwiązanie ewentualnego sporu w przypadku jego zaistnienia. Ponadto, aby minimalizować potencjalne ryzyka, jeszcze przed rozpoczęciem negocjacji warto zawrzeć osobne porozumienie dotyczące ochrony informacji poufnych.
Kolejnymi trybami zawarcia umowy są aukcja oraz przetarg. Obydwa te tryby zmierzają do uzyskania najkorzystniejszych dla organizatora aukcji lub przetargu warunków od konkurujących o zawarcie umowy podmiotów. Różni je natomiast to, że w przypadku aukcji o zawarcie umowy rywalizują równocześnie obecni uczestnicy, zaś kryterium decydującym jest zaoferowana cena. W przypadku przetargu oferty są najczęściej składane pisemnie, zaś oprócz kryterium cenowego, w wyborze kontrahenta istotną rolę odgrywają również inne kryteria określone przez organizatora przetargu.
Popularną instytucją stosowaną w trybie aukcji lub przetargu jest tzw. wadium. Polega ono na obowiązku wpłacenia organizatorowi określonej sumy pieniężnej lub ustanowienia odpowiedniego zabezpieczenia zapłaty pod rygorem niedopuszczenia do udziału w aukcji albo przetargu. Tym samym wadium umożliwia wstępną selekcję potencjalnych kontrahentów, pod kątem dysponowania zasobami finansowymi koniecznymi do wykonania przyszłej umowy. Ogranicza tym samym ryzyko zawarcia umowy z podmiotem niewypłacalnym.
Aby osiągnąć zamierzony przez organizatora cel umowy i ograniczyć ryzyko powstania sporów związanych z zawarciem umowy w tym trybie, warto w szczególności zadbać o przygotowanie jasnych i precyzyjnych warunków przeprowadzenia aukcji albo przetargu. Warunki te mogą regulować takie kwestie jak minimalne wymagania stawiane uczestnikom oraz ich propozycjom, a także kwestię związania wynikiem aukcji lub przetargu.
