To provide clarity regarding the tension between sustainability agreements and competition law, as well as to support companies in launching sustainable initiatives, the Dutch Authority for Consumers and Markets (“ACM”) introduced its policy rule for sustainability agreements (in Dutch: Beleidsregel Toezicht ACM op duurzaamheidsafspraken) on October 4, 2023. In a world where sustainability is increasingly taking center stage, sustainability agreements are essential to address sustainability challenges. However, such agreements can conflict with competition rules. The ACM’s policy rule provides clarity on which sustainability agreements, in principle, do not require further investigation. By doing so the ACM's aligns its approach with the recent approach of the European Commission, as outlined in their guidelines for horizontal co-operation agreements. With this new policy rule, the ACM replaces its previous two sustainability agreement guidelines from 2020 and 2021.
Assessment Framework for Sustainability Agreements
According to the ACM, sustainability agreements refer to any agreement aimed at a sustainable goal, regardless of the form of collaboration. This implies that the agreements are designed to utilize available resources without jeopardizing the ability of future generations to meet their needs.
If an agreement demonstrably restricts competition, as outlined in the cartel prohibition of Article 101(1) of the Treaty on the Functioning of the European Union (“TFEU”) or Article 6(1) of the Dutch Competition Act (“Mw”), its implications on competition do not have to be investigated since any agreement or decision prohibited pursuant to these Articles are automatically void. This is different when the agreement has a sustainability objective that raises doubts about its anti-competitive nature. In such cases, the implications of such agreement must be assessed, unless they are deceptive in nature, such as price agreements or market allocation.
The framework for assessing sustainability agreements is derived from Article 101(3) TFEU and/or Article 6(3) Mw. Based on these Articles, agreements that reduce competition, but offer more advantages than disadvantages may be exempt from the cartel prohibition. To avoid falling under this prohibition, such agreements must meet four cumulative conditions:
- The agreements must yield sustainability advantages;
- The sustainability agreement is essential to achieve these advantages, and the advantages of the agreement sufficiently outweigh potential disadvantages relating to competition;
- 3. Consumers in the relevant market must receive a significant and tangible portion of the advantages, ensuring they belong to the group benefiting from the established agreements; and
- There must be residual competition.
Policy Choices for Sustainability Agreements
In its policy rule, the ACM identifies two types of sustainability agreements and claims they will not, in principle, investigate. These agreements are the following:
- Agreements on compliance with binding sustainability standards:
These agreements pertain specifically to compliance with sustainability standards or prohibitions established in legally binding international treaties, European, or national laws. In these situations, the ACM disregards the cartel prohibition and will not conduct an investigation.
- Environmental harm agreements contributing to environmental goals:
Such agreements concern environmental initiatives that directly support international or national standards or specific policy goals to prevent or reduce environmental harm. Here the ACM will not conduct further investigation if it follows from a preliminary investigation
that it is plausible that the agreement is essential to realize the environmental benefits and such benefits sufficiently outweigh the potential competitive disadvantages. Moreover, consumers within the relevant market should significantly and tangibly benefit from these agreements. This means, at a minimum, that consumers should be among the beneficiaries of the agreement's advantages. Additionally, there should still be residual competition present.
From these policy choices can be discerned that agreements pertaining to binding standards are in general exempt from investigation by the ACM, whilst environmental harm agreements are still subject to a preliminary (light) investigation as described in Article 101(3) TFEU and Article 6(3) Mw.
Informal Assessment of Sustainability Agreements
Companies uncertain about the competition-law aspects of their proposed sustainability agreements can request an informal assessment from the ACM. Such informal assessment can help companies gain insight into potential competition-law implications of their plans. During this phase, the ACM can provide recommendations to ensure that the agreements align with competition regulations.
The ACM intends to publish all informal assessments provided to companies based on the policy rule on its website. Prior to publication, an agreement will be reached with the requester about a public version, taking into account the confidential nature of the matter and the protection of personal and company data.
Implications of the Informal Assessment
An informal assessment is not an official decision by the ACM and only represents a preliminary evaluation by the ACM based on the provided information. This evaluation does not confer any rights or obligations on the applicant or other involved parties.
For companies contemplating to submit their agreement for an informal assessment it is important to note that the ACM, in principle, will not impose penalties on companies that have submitted their sustainability agreements for assessment and received approval, even if these agreements are later found to be in violation of competition rules. This stance remains even if the ACM initially indicated no further investigation would be pursued, but later identifies irregularities. The conditions for this are that the companies communicated in good faith, the ACM made no reservations, and any issues are promptly addressed. This also applies to publicly announced sustainability agreements that have not been submitted to the ACM, but where this document has demonstrably been followed in good faith.

ACM Publiceert Beleidsregel voor Duurzaamheidsafspraken
Om duidelijkheid te verschaffen inzake het spanningsveld tussen duurzaamheidsafspraken en mededingingsrecht, en om bedrijven te helpen duurzame initiatieven te ontplooien, heeft de Autoriteit Consument en Markt (‘’ACM’’) op 4 oktober 2023 haar Beleidsregel Toezicht ACM op duurzaamheidsafspraken geïntroduceerd. In een wereld waar duurzaamheid een steeds centralere rol inneemt, kunnen bedrijfsafspraken essentieel zijn om duurzaamheidsuitdagingen aan te pakken. Deze afspraken kunnen echter in strijd zijn met mededingingsregels. De beleidsregel verschaft duidelijkheid over welke duurzaamheidsafspraken in beginsel geen nader onderzoek behoeven. De ACM volgt hierbij de recente aanpak van de Europese Commissie, zoals uiteengezet in haar Richtsnoeren voor horizontale samenwerkingsovereenkomsten. Daarnaast vervangt de beleidsregel de leidraden duurzaamheidsafspraken uit 2020 en 2021.
Beoordelingskader Duurzaamheidsafspraken
Volgens de ACM betreffen duurzaamheidsafspraken elke overeenkomst gericht op een duurzaam doel, onafhankelijk van de samenwerkingsvorm. Hieruit volgt dat de afspraken erop gericht zijn de beschikbare hulpbronnen te benutten zonder de mogelijkheden voor toekomstige generaties om in hun behoeften te voorzien, in gevaar te brengen.
Indien een afspraak aantoonbaar de mededinging beperkt, zoals bedoeld in het kartelverbod als neergelegd in artikel 101 lid 1 van het Verdrag Inzake de Werking van de Europese Unie (‘’VWEU’’) of artikel 6 lid 1 van de Mededingingswet (‘’Mw’’), hoeven de gevolgen ervan voor de concurrentie niet onderzocht te worden. Overeenkomsten die op grond van deze artikelen verboden zijn, worden als nietig beschouwd.
Het beoordelingskader voor duurzaamheidsafspraken volgt uit artikel 101 lid 3 VWEU en/of artikel 6 lid 3 Mw. Op basis van deze artikelen kunnen afspraken die de concurrentie verminderen, maar meer voordelen dan nadelen hebben, worden vrijgesteld van het kartelverbod. Om niet onder het kartelverbod te vallen moeten deze afspraken voldoen aan vier cumulatieve voorwaarden:
- De afspraken leveren duurzaamheidsvoordelen op;
- De duurzaamheidsafspraak is noodzakelijk om de duurzaamheidsvoordelen te behalen en de voordelen van de afspraken wegen voldoende op tegen de mogelijke nadelen voor de mededinging;
- Consumenten dienen een merkbaar en objectief deel voordeel te ontvangen en moeten daarmee tot de groep behoren die profiteert van de gemaakte afspraken; en
- Er moet sprake zijn van restconcurrentie.
Beleidskeuzes Duurzaamheidsafspraken
In de beleidsregel identificeert de ACM twee soorten duurzaamheidsafspraken waarbij zij in beginsel geen onderzoek zal doen. Deze soorten afspraken zijn als volgt:
- Afspraken over naleving van bindende duurzaamheidsnormen:
Dergelijke afspraken zijn enkel gericht zijn op het naleven van specifieke duurzaamheidseisen of -verboden uit wettelijk bindende internationale verdragen, Europese of nationale wetgeving. In dusdanige gevallen wordt het kartelverbod buiten beschouwing gelaten en zal de ACM geen onderzoek instellen.
- Milieuschadeafspraken die bijdragen aan milieudoelen:
Milieuschadeafspraken betreffen afspraken die bijdragen aan het naleven van (inter)nationale normen of beleidsdoelen tegen milieuschade, zoals CO2-uitstoot of verspilling van grondstoffen. Bij dergelijke afspraken zal de ACM geen nader onderzoek instellen indien uit een vooronderzoek blijkt dat het aannemelijk is dat de afspraak essentieel is om de milieuvoordelen te realiseren en dat dergelijke voordelen voldoende opwegen tegen de potentiële nadelen voor de mededinging. Bovendien moeten consumenten binnen de relevante markt merkbaar en objectief profiteren van deze afspraken. Dit betekent op zijn minst dat consumenten tot de begunstigden van de voordelen van de afspraak moeten behoren. Bovendien moet er restconcurrentie aanwezig zijn.
Uit deze beleidskeuzes kan afgeleid worden dat afspraken over bindende duurzaamheidsnormen in het algemeen zijn vrijgesteld van onderzoek door de ACM, terwijl milieuschadeafspraken onderworpen zijn aan een voorlopig onderzoek aan de hand van de voorwaarden in artikel 101, lid 3 VWEU en artikel 6 lid 3 Mw.
Informele Beoordeling Duurzaamheidsafspraken
Bedrijven die twijfelen over de mededingingsrechtelijke aspecten van hun voorgestelde duurzaamheidsafspraken kunnen een informele beoordeling aanvragen bij de ACM. Deze informele beoordeling kan bedrijven helpen inzicht te krijgen in de mogelijke mededingingsrechtelijke implicaties van hun plannen. Tijdens deze fase kan de ACM aanbevelingen doen om de afspraken in lijn te brengen met mededingingsregels.
De ACM heeft het voornemen alle informele beoordelingen die zij op basis van de beleidsregel aan bedrijven verstrekt, te publiceren op haar website, waarbij vooraf overeenstemming met de verzoeker wordt bereikt over een publieke versie, rekening houdend met het vertrouwelijke karakter van de zaak en de bescherming van persoons- en bedrijfsgegevens.
Gevolgen Informele Beoordeling
Een informele beoordeling betreft geen officieel besluit van de ACM en vertegenwoordigt slechts een voorlopige beoordeling van de ACM op basis van de verstrekte informatie, zonder dat hieruit rechten of verplichtingen voortvloeien voor de aanvrager of andere betrokken partijen.
De ACM zal doorgaans geen boetes opleggen aan bedrijven die hun duurzaamheidsafspraken ter beoordeling aan de ACM hebben voorgelegd en waarvan de ACM heeft aangegeven dat die niet in strijd lijkt te zijn met de mededingingsregels, zelfs als ze later in strijd blijken met mededingingsregels. Dit geldt ook als de ACM eerder aangaf geen verder onderzoek te doen, maar later vaststelt dat de duurzaamheidsafspraak toch niet aan de daarvoor vereiste criteria voldoet. Voorwaarde hierbij is dat bedrijven eerlijk hebben gecommuniceerd, de ACM geen voorbehoud heeft gemaakt, en eventuele problemen snel worden aangepakt. Ook openbaar gemaakte afspraken waarbij de beleidsregel te goeder trouw is opgevolgd, maar niet zijn ingediend bij de ACM vallen hieronder.
Conclusie
Het introduceren van een beleidsregel voor duurzaamheidsafspraken is een stap in de goede richting om bedrijven te helpen bij het realiseren van hun duurzaamheidsdoelen zonder in strijd te handelen met mededingingsregels.
