Dutch Court upholds Apple sanctions for unfair conditions imposed on dating app providers

On 16 June 2025, the District Court of Rotterdam (hereinafter “the court”)ruled that the order for incremental penalty payments imposed by the Dutch competition authority ACM on Apple should be upheld. The charge was imposed because Apple was applying unfair conditions towards a group of dating app providers.

Background

On 24 August 2021, the ACM imposed an order for incremental penalty payments on Apple for breaching Article 24 of the Dutch Competition Act and Article 102 of the Treaty on the Functioning of the European Union ("TFEU"). The ACM imposed this charge because Apple allegedly abused its economic dominance by imposing unfair conditions on dating app providers. On 13 June 2022, the ACM subsequently imposed a recovery order, as Apple did not comply with the charge (see this earlier article). Following this, Apple launched an objection procedure with the ACM not only against the sanction decision, but also the decision to publish the sanction decision. When the ACM did not wish to amend its initial decision, Apple appealed to the Rotterdam District Court.

A consumer can only download a dating app on an iPad or iPhone from Apple's App Store. App providers wishing to distribute their app on an Apple device must agree to the Apple Developer Program License Agreement ("ADPLA"). By agreeing, the app provider gains access to Apple's Software Development Kits ("SDKs"). SDKs are required to develop apps for Apple. The ADPLA also sets conditions for the use of Application Programming interfaces ("APIs"), such as for the In App Purchase ("IAP API"), which is the focus of the ACM case. The API is used to provide additional content and is made mandatory for app providers offering paid digital content and services in their app. In contrast, this obligation does not apply to app providers offering intermediary services such as Uber.

The following conditions were considered unfair by the ACM and an abuse of Apple’s dominant position:

1. IAP-API obligation: Dating app providers offering paid content within the app are obliged to use Apple's in-app payment system;
2. Anti-steering provision: Dating app providers are not allowed to reference in-app payment options outside the app;
3. Commission obligation: Apple charges a commission for each in-app purchase of 15-30% depending on the duration of the partnership and the dating app provider's market share.

The ACM concludes that the vast majority of dating app providers use the 'freemium' model. Consumers can then download the app for free, but premium features can be purchased in the app for a fee.

Breach of prohibition on abuse of economic dominance

Market definition and dominance

In this context, the ACM concludes that the relevant market should be defined as the market for app store services on iOS for dating app providers. The geographical scope of the market is the European Economic Area ("EEA"). Apple disagrees with this market definition and argues that the relevant market should be all online dating transactions combined. Moreover, the ACM made errors in conducting its economic investigation.

The court endorses the market definition used by the ACM. In doing so, it first establishes what the core product is: a native app that can facilitate payments in the app itself and provides access to iOS technologies and functionalities. This access follows from the fact that new SDKs become available with every iOS update, the use of which is only possible if the developer enters into an agreement with Apple. Under the ADPLA, developers obtain the right to use Apple's software. These interrelated services collectively constitute appstore services, of which the obligation to use the IAP API is an integral part.

The court also finds the ACM's economic investigation sound. When assessing demand substitution the fundamental question is whether dating app providers have a real alternative to the native app with a payment option and access to iOS technologies. The so-called Small but Significant Non-Transitory Increase in Price test ("SSNIP") is a tool that allows competition authorities to define the relevant market and, according to Apple, ACM should have conducted that test. However, the court concludes - correctly in our view - that the application of that test is not mandatory if other evidence is available that sufficiently or even better supports the market delineation.

Furthermore, the court considers that appstores on other operating systems are not part of the relevant market. For providers of dating apps, it is essential to reach as large a user base as possible due to network effects. In doing so, access to users of iPhone and iPad devices is indispensable. Since other app stores cannot be installed on Apple devices, this user group can only be reached by developers through the App Store. On top of this, Apple holds a substantial market share in the market for mobile phones and other smart devices, while iOS users also spend higher amounts in the App Store on average.

Other dating websites, or so-called Progressive Web Apps ("PWA") are also not part of the relevant market. Dating apps are a much more prominent channel of use for consumers; websites or PWA versions of dating services are hardly ever used. Moreover, they are not a reasonable alternative as they offer significantly less functionality than native apps. On top of that, Apple determines which functionalities are available for PWAs. Within the native app, payment functionality is offered as an integrated service, which increases user-friendliness. Moreover, around 98% of all user purchases take place via in-app transactions. Finally, the court considers that there is no relevant competitive pressure on the consumer side: users will not switch to another mobile device when the price of a dating app increases slightly.

In short, the court finds that the ACM's market definition is correct: this is an EEA-wide market for appstore services on the iOS mobile operating system for dating app providers. Apple has a 100 per cent market share in this market.

Abuse of economic dominance

Since Apple has a dominant position, a special responsibility rests on it not to abuse that position. The obligation to use the IAP API restricts dating app providers in their freedom to use their own payment methods. Furthermore, the contractual relationship is in principle established between the consumer and Apple, and not between the consumer and the dating app provider. As a result, the provider cannot communicate directly with the consumer, which can be problematic in cases of subsequent billing, for example. Nor can the provider perform a full identity check, which limits its ability to ensure security within the app.

Apple has not provided justification for the IAP-API requirement and could have chosen less far-reaching options instead of taking over the customer relationship, and positioning itself as an agent receiving commission. Apple further argues that the IAP-API obligation and anti-steering conditions are essential to the user experience and security of the App Store. This does not convince the court: iOS users are used to alternative payment methods and Apple itself makes exceptions (e.g. Video Partner Programme), so the policy is inconsistently applied.

Apple also failed to provide a clear and consistent justification for the commission requirement: the services for different providers are similar, the cost is the same, yet some groups are favoured over others without obivous reasons. Apple invokes its freedom to apply price differentiation, but because of its dominant position, it must be able to explain differences, which it failed to do.

Apple therefore abused its economic dominance, according to the court, and the ACM was therefore entitled to impose an order for incremental penalty payments.

Penalty payment order

The ACM imposed an order on Apple to amend the unfair terms in the ADLPA. To the extent relevant - and paraphrased - the ACM ordered Apple to: (a) give dating app providers freedom of choice for in-app payment methods, (b) stop charging commission to Apple for in-app purchases, and (c) make it possible to reference in-app payment methods outside the app.

Apple argues that the ACM was not entitled to require it to end the infringement in a specific way. The court does not follow this argument and rules in favour of the ACM. The lack of choice for dating app providers, due to the IAP API obligation and anti-steering provisions, leads to a disruption of customer contact. This disruption can only be remedied by allowing providers to select their own payment service provider. Thereby, the abuse inherent in the commission requirement for in-app purchases can only be ended by abandoning the requirement altogether.

Apple has further argued that parts (a) and (c) of the order cannot be imposed in combination because those parts pursue the same objective and implementing either of those two parts of the order already ensures that said objective is achieved. By ordering both parts as cumulative requirements, the charge goes further than necessary in that context. The court agrees with Apple’s arguments for this part of the ACM decision. In the amended terms, Apple allows dating app providers a choice: either offer an in-app alternative payment method, or refer to an alternative payment method outside the app. The freedom of choice of the dating app providers, is sufficiently guaranteed with this modification, according to the court.

Has Apple met the order?

Apple has changed its terms and conditions to so-called Entitlement Agreements. However, the ACM found that this did not meet the order imposed upon Apple. This is because these Entitlement Agreements contain provisions contrary to the order:

1. Requirement of App-binary: This requirement amounts to using a separate in-app payment system only in the Netherlands. For dating app providers, this means they have to create a separate app for the Netherlands. Apple has previously indicated it could drop this requirement, enforcement would therefore be disproportionate;
2. Payment service provider requirements: Apple has set strict requirements for payment service providers, which can cause Apple to still determine how payment traffic runs. Later, Apple replaced several open standards, simply stating that the payment service provider must be able to comply with the widely accepted 'Level 1 Payment Card Industry' standard. Setting further requirements is not necessary to further ensure the user experience of consumers;
3. Consumer notification: For apps with an External Purchase Entitlement or External Purchase Link Entitlement, Apple stipulates that a notification must appear immediately after a user selects a purchase. While it may be justified in itself to display such a notification, Apple's way of shaping it is such that consumers may have the impression that the external payment link is unreliable. The ACM considers this presentation contrary to the charge and Apple should amend it.

Conclusion and key take-aways

The court allows the ACM to collect the already forfeited amount of EUR. 50,000,000 including statutory interest. Apple's appeal is declared largely unfounded. Only on one point is the appeal upheld: providing choice for in-app payment methods and allowing references within the app to alternative payment methods outside the app should not be considered cumulative requirements. Both Apple and the ACM can appeal against the ruling, but given the extent to which the ACM decision was upheld, it seems unlikely in any case that the ACM will use this option. An appeal from Apple seems a lot more likely.

We consider the following key take-aways to be of particular relevance for competition law practice:

1. App store services on the iOS mobile operating system are a separate product market: App store services on iOS do not compete with app stores on other operating systems. In the Google/Android case, Google unsuccessfully argued that Apple should be considered a competitor to the Google Play Store. The General Court did not follow that view because the parties could not exert sufficient direct competitive pressure on each other. The decisive factor was that Apple operates a closed ecosystem, in which it is not possible to install the Google Play Store on an iOS device. Against this background, and in light of the considerations in the Google/Android ruling, the finding that app store services on iOS constitute a separate product market is not a surprising conclusion.
2. Unfair terms: The specific set of conditions - the IAP-API obligation, the commission obligation and the anti-steering provision - restricts dating app providers in their freedom of choice and revenue, to the extent that these costs are not passed on to consumers. Unnecessarily restricting this freedom of choice reflects an unfair system primarily aimed at profit maximisation by Apple. After all, a commission can reasonably be required for other services provided by Apple, but not for processing payments for services in which Apple plays essentially no substantive role.

Rechtbank oordeelt: Apple terecht bestraft voor onbillijke voorwaarden opgelegd aan datingappaanbieders

Op 16 juni 2025 heeft de rechtbank Rotterdam geoordeeld dat de door de ACM aan Apple opgelegde last onder dwangsom in stand blijft. Deze last was opgelegd omdat Apple onbillijke voorwaarden hanteerde jegens een groep aanbieders van datingapps.

Achtergrond 

Op 24 augustus 2021 heeft de ACM aan Apple een last onder dwangsom opgelegd voor het overtreden van artikel 24 Mededingingswet (“Mw”) en artikel 102 Verdrag Betreffende de werking van de Europese Unie (“VWEU”). Deze last heeft de ACM opgelegd, omdat Apple misbruik zou maken van haar economische machtspositie, door onbillijke voorwaarden aan datingappaanbieders op te leggen. Op 13 juni 2022 heeft de ACM vervolgens een invorderingsbesluit opgelegd, omdat Apple niet voldeed aan de last (zie dit eerdere artikel). Hierna is Apple een bezwaarprocedure gestart bij de ACM tegen de last, maar ook het besluit van de ACM om het sanctiebesluit te publiceren. Toen de ACM haar initiële besluit niet wenste te herzien, is Apple in beroep gegaan bij de rechtbank Rotterdam tegen de oplegging van de last onder dwangsom.

Een consument kan een datingapp op een iPad of iPhone alleen downloaden via de App Store van Apple. Appaanbieders die hun app willen distribueren op een Apple-apparaat, moeten akkoord gaan met de Apple Developer Program License Agreement (“ADPLA”). Door akkoordverklaring krijgt de appaanbieder toegang tot de Software Development Kits (“SDKs”) van Apple. SDKs zijn nodig om apps te ontwikkelen voor Apple. De ADPLA stelt ook voorwaarden voor het gebruik van Application Programming interfaces (“API’s”), zoals voor de hier centraal staande In App Purchase (“IAP-API”). De API wordt gebruikt om aanvullende content te leveren. De IAP-API wordt verplicht gesteld voor appaanbieders die betaalde digitale content en diensten aanbieden in hun app. Deze verplichting geldt dan weer niet voor appaanbieders die bemiddelingsdiensten aanbieden zoals Uber.

De volgende voorwaarden achtte de ACM onbillijk en een misbruik van de economische machtspositie van Apple:

1. IAP-API-verplichting: Datingappaanbieders die betaalde content aanbieden binnen de app, zijn verplicht gebruik te maken van het in-app betaalsysteem van Apple;
2. Anti-steering bepaling: Het is niet toegestaan voor datingappaanbieders om binnen de app te verwijzen naar betaalmogelijkheden buiten de app;
3. Commissie-verplichting: Apple rekent een commissie voor iedere in-app aankoop van 15-30% afhankelijk van de duur van de samenwerking en het marktaandeel van de datingappaanbieder.

De ACM overwoog in haar besluit dat veruit de meeste datingappaanbieders gebruik maken van het ‘freemium’-model. Consumenten kunnen de app dan gratis downloaden, maar in de app kunnen premium functionaliteiten worden afgenomen tegen betaling.

Overtreding verbod misbruik van economische machtspositie

Marktafbakening en machtspositie

De ACM heeft in dit kader gesteld dat de relevante markt moet worden gedefinieerd als de markt voor appstorediensten op iOS voor datingappaanbieders. De geografische omvang is de Europese Economische Ruimte (“EER”). Apple is het niet eens met deze afbakening en stelt dat de relevante markt alle online datingtransacties tezamen moet zijn. Bovendien heeft de ACM het economische onderzoek fout verricht.

De rechtbank onderschrijft de door de ACM gehanteerde marktafbakening. Zij stelt daarbij allereerst vast wat het kernproduct is: een native app die in de app zelf betalingen kan faciliteren en toegang biedt tot de technologieën en functionaliteiten van iOS. Deze toegang volgt uit het feit dat bij iedere iOS‑update nieuwe SDKs beschikbaar komen, waarvan gebruik uitsluitend mogelijk is indien de ontwikkelaar een overeenkomst met Apple sluit. Op grond van de ADPLA verkrijgen ontwikkelaars het recht om Apple’s software te gebruiken. Deze onderling samenhangende diensten vormen gezamenlijk de appstorediensten, waarvan de verplichting tot gebruik van de IAP‑API een integraal onderdeel uitmaakt.

De rechtbank acht ook het economisch onderzoek van de ACM deugdelijk. Bij de beoordeling van vraagsubstitutie – de vraag of voor afnemers realistische overstapmogelijkheden bestaan – gaat het erom of aanbieders van datingapps voor de native app met een betalingsmogelijkheid en toegang tot iOS‑technologieën een reëel alternatief hebben. De zogenoemde Small but Significant Non‑Transitory Increase in Price‑test (“SSNIP”) is een instrument waarmee mededingingsautoriteiten de relevante markt kunnen afbakenen en volgens Apple had ACM die test moeten uitvoeren. Echter, de rechtbank concludeert – onzes inziens terecht – dat de toepassing van die test niet verplicht is indien ander bewijsmateriaal beschikbaar is dat de marktafbakening voldoende of zelfs beter onderbouwt.

Voorts overweegt de rechtbank dat appstores op andere besturingssystemen geen deel uitmaken van de relevante markt. Voor aanbieders van datingapps is het vanwege netwerkeffecten essentieel om een zo groot mogelijke gebruikersbasis te bereiken. Daarbij is toegang tot gebruikers van iPhone‑ en iPad‑apparaten onmisbaar. Aangezien andere appstores niet kunnen worden geïnstalleerd op Apple‑apparaten, is deze gebruikersgroep voor ontwikkelaars uitsluitend via de App Store te bereiken. Daar komt bij dat Apple een substantieel marktaandeel bezit op de markt voor mobiele telefoons en andere slimme apparaten, terwijl iOS‑gebruikers bovendien gemiddeld hogere bestedingen in de App Store doen.

Ook andere datingswebsites, of zogenaamde Progressive Web Apps (“PWA”) behoren niet tot de relevante markt. Datingapps vormen voor consumenten een veel prominenter gebruikskanaal; van websites of PWA‑versies van datingdiensten wordt nauwelijks gebruikgemaakt. Deze vormen bovendien geen redelijk alternatief, omdat zij beduidend minder functionaliteiten bieden dan native apps. Daar komt bij dat Apple bepaalt welke functionaliteiten voor PWA’s beschikbaar zijn. Binnen de native app wordt de betaalfunctionaliteit geïntegreerd aangeboden, hetgeen de gebruiksvriendelijkheid vergroot. Daarbij vindt circa 98% van alle gebruikersaankopen plaats via in‑app transacties. Tot slot overweegt de rechtbank dat er aan de consumentenzijde geen relevante concurrentiedruk bestaat: gebruikers zullen niet overstappen op een ander mobiel apparaat wanneer de prijs van een datingapp enigszins stijgt.

Kortom, de rechtbank oordeelt dat de marktafbakening van de ACM juist is: het gaat om een markt voor appstorediensten op het mobiele besturingssysteem iOS voor datingappaanbieders met een EER-brede omvang. Apple heeft een marktaandeel van 100% op deze markt.

Misbruik economische machtspositie

Nu is vastgesteld dat Apple een economische machtspositie inneemt, rust op haar een bijzondere verantwoordelijkheid om die positie niet te misbruiken. De verplichting tot gebruik van de IAP‑API beperkt aanbieders van datingapps in hun vrijheid om eigen betaalmethoden te hanteren. Voorts geldt dat de contractuele relatie in beginsel tussen de consument en Apple tot stand komt, en niet tussen de consument en de datingappaanbieder. Hierdoor kan de aanbieder niet rechtstreeks met de consument communiceren, hetgeen problematisch kan zijn bij bijvoorbeeld latere facturering. Evenmin kan de aanbieder een volledige identiteitscontrole uitvoeren, wat de mogelijkheden tot waarborging van de veiligheid binnen de app beperkt.

Apple heeft geen rechtvaardiging gegeven voor de IAP-API-verplichting en had voor minder vergaande opties kunnen kiezen in plaats van het overnemen van de klantrelatie, en het zichzelf positioneren als commissionair. Apple stelt verder dat de IAP-API-verplichting en anti-steering voorwaarden essentieel zijn voor de gebruikservaring en veiligheid van de App Store. Dit blijkt niet overtuigend: iOS-gebruikers zijn gewend aan alternatieve betaalmethoden en Apple maakt zelf uitzonderingen (bijv. Video Partner Program), waardoor het beleid inconsistent wordt toegepast.

Ook voor de commissieverplichting heeft Apple geen duidelijke en consistente rechtvaardiging kunnen geven: de diensten voor verschillende aanbieders zijn vergelijkbaar, de kostprijs is gelijk, maar toch worden sommige groepen bevoordeeld boven anderen zonder duidelijke reden. Apple beroept zich op haar vrijheid om prijsdifferentiatie toe te passen, maar vanwege haar machtspositie moet zij verschillen wel kunnen uitleggen, en dat heeft zij niet gedaan.

Apple heeft volgens de rechtbank dan ook misbruik gemaakt van haar economische machtspositie, en de ACM mocht dan ook een last onder dwangsom opleggen.

Last onder dwangsom

De ACM heeft een last opgelegd aan Apple om de onbillijke voorwaarden uit de ADLPA aan te passen. Voor zover relevant – en geparafraseerd – heeft de ACM Apple gelast om: (a) datingappaanbieders keuzevrijheid te geven voor de in-app betaalwijze, (b) geen commissie meer af te laten dragen aan Apple voor in-app aankopen, en (c) het mogelijk moet worden om binnen de app te verwijzen naar betaalmethoden buiten de app.

Apple stelt zich op het standpunt dat de ACM haar niet mocht verplichten de overtreding op een specifieke wijze te beëindigen. De rechtbank volgt dit betoog niet en oordeelt in het voordeel van de ACM. Het ontbreken van keuzevrijheid voor datingappaanbieders, als gevolg van de IAP‑API‑verplichting en de anti‑steering‑bepalingen, leidt tot een verstoring van het klantcontact. Deze verstoring kan slechts worden verholpen door aanbieders de mogelijkheid te geven een eigen betaaldienstverlener te selecteren. Daarbij kan het misbruik dat besloten ligt in de commissieverplichting voor in-app aankopen uitsluitend worden beëindigd door deze verplichting volledig los te laten.

Apple heeft verder aangevoerd dat de onderdelen (a) en (c) niet cumulatief kunnen worden opgelegd, omdat die lastonderdelen hetzelfde doel nastreven en uitvoering geven aan één van die twee onderdelen er reeds voor zorgt dat dat doel bereikt wordt. Door de lastonderdelen als cumulatieve vereisten te hanteren, gaat de last in dat kader verder dan noodzakelijk. Hierin geeft de rechtbank Apple gelijk. In de aangepaste voorwaarden laat Apple de datingappaanbieders een keuze maken: of ze bieden een in-app alternatieve betaalmethode aan, of ze verwijzen naar een alternatieve betaalmethode buiten de app. De keuzevrijheid van de datingappaanbieders, wordt voldoende geborgd met deze aanpassing, aldus de rechtbank.

Heeft Apple aan de last voldaan?

Apple heeft haar voorwaarden gewijzigd in zogenoemde Entitlement Agreements. De ACM heeft echter vastgesteld dat hiermee niet aan de opgelegde last is voldaan. In deze Entitlement Agreements zijn namelijk bepalingen opgenomen die in strijd zijn met de last:

1. Vereiste van App-binary: Dit vereiste komt erop neer dat alleen in Nederland met een apart in-app betalingssysteem wordt gewerkt. Voor de datingappaanbieders betekent dit dat zij voor Nederland een separate app moeten creëren. Apple heeft al eerder aangegeven deze eis te kunnen laten vervallen, handhaving zou dan ook disproportioneel zijn;
2. Eisen aan betaaldienstverlener: Apple heeft strenge eisen gesteld aan betaaldienstverleners, die ervoor kunnen zorgen dat Apple alsnog bepaald hoe het betaalverkeer loopt. Later heeft Apple diverse open normen vervangen, door simpelweg te stellen dat de betaaldienstverlener moet kunnen voldoen aan de breed geaccepteerde ‘Level 1 Payment Card Industry’-standaard. Het stellen van nadere eisen is niet noodzakelijk om de gebruikservaring van de consumenten verder te waarborgen;
3. Consumentennotificatie: Voor apps met een External Purchase Entitlement of External Purchase Link Entitlement bepaalt Apple dat onmiddellijk nadat een gebruiker een aankoop selecteert, een melding moet verschijnen. Hoewel het op zichzelf gerechtvaardigd kan zijn om een dergelijke notificatie te tonen, is de wijze waarop Apple dit vormgeeft zodanig dat bij de consument de indruk kan ontstaan dat het externe betaalverkeer onbetrouwbaar is. Deze presentatie acht de ACM strijdig met de last en Apple dient deze aan te passen.

Conclusie en key take-aways

De rechtbank staat de ACM toe om het reeds verbeurde bedrag van EUR. 50.000.000,- met wettelijke rente in te vorderen. Het beroep van Apple wordt grotendeels ongegrond verklaard. Slechts op één punt wordt het beroep gegrond geacht: het bieden van keuzevrijheid voor in‑app betaalwijzen en het toestaan van verwijzingen binnen de app naar alternatieve betaalmethoden buiten de app mogen niet als cumulatieve vereisten worden aangemerkt. Zowel Apple als de ACM kan tegen de uitspraak hoger beroep instellen, maar gelet op de mate waarin Apple in het ongelijk is gesteld, ligt het niet voor de hand dat de ACM van deze mogelijkheid gebruik zal maken. Dat Apple hoger beroep zal instellen lijkt waarschijnlijker.

De volgende key take-aways achten wij bijzonder van belang voor de praktijk:

1. Appstorediensten op het mobiele besturingssysteem iOS zijn een separate productmarkt: Appstorediensten op iOS concurreren niet met appstores op andere besturingssystemen. In de zaak Google/Android betoogde Google tevergeefs dat Apple als concurrent van de Google Play Store moest worden beschouwd. Het Gerecht volgde dat standpunt niet, omdat partijen onvoldoende directe concurrentiedruk op elkaar konden uitoefenen. Doorslaggevend daarbij was dat Apple een gesloten ecosysteem hanteert, waarin het niet mogelijk is de Google Play Store op een iOS‑apparaat te installeren. Tegen deze achtergrond, en in het licht van de overwegingen in de Google/Android-uitspraak, is het oordeel dat appstorediensten op iOS een afzonderlijke productmarkt vormen geen verrassende conclusie.
2. Onbillijke voorwaarden: Het specifieke samenstel van voorwaarden – de IAP‑API‑verplichting, de commissieverplichting en de anti‑steering‑bepaling – beperkt aanbieders van datingapps in hun keuzevrijheid en omzet, voor zover deze kosten niet aan de consument worden doorberekend. Het onnodig inperken van deze keuzevrijheid getuigt van een onbillijk systeem dat primair is gericht op winstmaximalisatie door Apple. Immers, een commissie kan in redelijkheid worden verlangd voor andere door Apple geleverde diensten, maar niet voor de verwerking van betalingen voor diensten waarbij Apple in wezen geen inhoudelijke rol speelt.
